1. Acceptance of these Terms
These Terms of Service, together with the Privacy Policy and any plan, checkout, product, or feature-specific terms presented to you, form a binding agreement between you and the operator of LectureSketch. In these Terms, "LectureSketch," "we," "us," and "our" refer to the operator of the Service.
By creating an account, clicking an acceptance control, purchasing a subscription, or accessing or using the Service, you confirm that you have read, understood, and agree to these Terms. If you do not agree, do not access or use the Service.
If you use the Service on behalf of an organization, you represent that you have authority to bind that organization. In that case, "you" includes both you and the organization.
2. Eligibility and age requirement
You may use the Service only if you can form a legally binding contract and are not prohibited from using it under applicable law. The Service is not directed to or permitted for anyone under 18. By using the Service, you represent and warrant that you meet these requirements.
We may request reasonable information to verify eligibility. If we learn that an account belongs to or is being used by someone under 18, we may suspend or terminate it and delete associated information, subject to applicable law.
3. Accounts and account security
- You must provide accurate, current, and complete registration information and keep it updated.
- Your account is personal to you. You may not sell, transfer, rent, or share access to it, except as expressly authorized by us.
- You are responsible for maintaining the confidentiality of your credentials and for activity conducted through your account, to the extent permitted by law.
- You must promptly notify support@lecturesketch.com if you suspect unauthorized access, credential compromise, or another security incident involving your account.
- You may not create accounts through unauthorized automated means or create an account for another person without their permission.
We are not responsible for losses caused by your failure to safeguard your account unless applicable law provides otherwise.
4. The Service, changes, and limits
LectureSketch provides tools that transform user-supplied study materials into generated learning experiences, which may include summaries, source-linked claims, memory cues, visual scenes, narration, citations, and grounded chat answers.
We may add, change, limit, suspend, or discontinue features, models, integrations, storage allowances, generation quotas, file-type support, or other parts of the Service. We may also impose reasonable technical and usage limits to protect availability, security, cost, or user experience. If a change materially reduces a paid feature during a prepaid term, any remedy will be the one required by applicable law or expressly offered by us.
Features identified as beta, preview, experimental, or similar are offered for evaluation, may be less reliable, and may change or end without notice. The Service may experience interruptions, delays, errors, or data loss. You should keep your own copy of important source materials and should not use LectureSketch as your only storage location.
5. Subscriptions, billing, and cancellation
Free and paid access
We may offer free access, paid subscriptions, trials, promotional plans, or other offers. Features, quotas, duration, and eligibility may differ by plan and will be described in the Service or at checkout. We may modify or end a free plan or promotion at any time, subject to applicable law.
Recurring authorization
If you purchase a recurring subscription, you authorize LectureSketch and Stripe to charge the payment method you provide for the subscription price, applicable taxes, and disclosed fees at the start of each billing period until you cancel. Billing frequency, price, currency, and the current plan terms are shown at checkout and in the billing portal.
Cancellation and renewal
You may cancel through the available Stripe customer portal or by contacting support@lecturesketch.com. To avoid a renewal charge, cancel before the next billing date. Unless the Service states otherwise, cancellation takes effect at the end of the current paid billing period, and you retain paid access until then.
Refunds, taxes, and price changes
Except where required by law or expressly stated in an offer, payments are nonrefundable and we do not provide credits for partially used billing periods. You are responsible for applicable taxes other than taxes based on our income. We may change subscription prices prospectively by providing the notice required by law. A new price will apply no earlier than your next renewal after the notice period, and you may cancel before it takes effect.
Payment failures and disputes
If a payment fails or becomes past due, we may retry the charge, ask you to update your payment method, downgrade access, or suspend paid features. You agree to contact us first and provide a reasonable opportunity to resolve billing concerns before initiating a chargeback, without limiting any nonwaivable rights.
6. Your content and permissions
"User Content" means material you submit, upload, link, record, paste, or otherwise provide through the Service, including class and sketch information, documents, slides, text, notes, audio, video, and feedback that contains your material. As between you and LectureSketch, you retain any ownership rights you have in your User Content.
You grant LectureSketch a worldwide, nonexclusive, royalty-free license to host, store, reproduce, format, adapt, extract from, transmit, display to you, and otherwise process User Content solely as reasonably necessary to operate, secure, maintain, troubleshoot, and improve the features you request, enforce these Terms, and comply with law. This license includes permission to provide User Content to service providers that help perform those functions. It ends when the content is deleted from our active systems, except to the extent limited copies must be retained for backups, legal compliance, security, or dispute resolution.
You represent and warrant that:
- you own User Content or have all rights, licenses, consents, and permissions needed to submit it and grant the license above;
- processing User Content as contemplated by the Service will not violate law, contract, intellectual-property rights, privacy rights, publicity rights, or another person's rights;
- User Content is not unlawful, fraudulent, harmful, or subject to restrictions that prevent its use with third-party AI or cloud processors; and
- you will not submit regulated health data, government identifiers, payment-card data, highly sensitive personal information, trade secrets, or confidential institutional records unless you have determined that the Service is suitable and have all legally required authorizations.
We do not pre-screen all User Content and are not responsible for it. We may remove or restrict content when we reasonably believe it violates these Terms, infringes rights, creates risk, or is unlawful.
7. AI features and generated output
The Service uses third-party artificial intelligence models, including Google Gemini, to analyze User Content and produce text, images, audio, and other generated material. "Output" means material generated by the Service in response to your instructions or User Content.
- No guarantee of accuracy. Output may be false, incomplete, outdated, misleading, biased, inappropriate, or inconsistent with source material. Citations and source references may also be incorrect.
- You must verify it. You are responsible for reviewing Output against authoritative sources before using or sharing it.
- Output may not be unique. Other users may receive the same or similar output. We do not represent that Output is protectable by copyright, exclusive, or free from third-party rights.
- No professional or high-stakes reliance. Output is for general educational support. It is not medical, legal, financial, mental-health, safety, or other professional advice and must not be used to make high-impact decisions about a person.
- Provider processing. User Content sent to AI features will be processed by our AI providers under the arrangements and practices described in the Privacy Policy.
As between you and LectureSketch, and to the extent permitted by law and consistent with third-party rights and provider terms, we assign to you any rights we may have in Output generated specifically for your account. This does not transfer rights in the Service, its software, templates, interfaces, branding, underlying systems, or material belonging to others. You are solely responsible for determining whether and how you may lawfully use, reproduce, publish, submit, or distribute Output.
8. Acceptable use
You may not use the Service to:
- violate any law, regulation, court order, or another person's rights;
- upload or generate material that is infringing, abusive, hateful, exploitative, deceptive, defamatory, sexually explicit, or otherwise unlawful;
- exploit, endanger, groom, sexualize, or collect information about minors, or allow a person under 18 to access the Service;
- distribute malware, malicious code, spam, phishing, or content intended to disrupt or compromise systems;
- probe, scan, test, bypass, disable, or interfere with authentication, access controls, rate limits, safety protections, or Service security;
- access accounts, files, systems, or data without authorization, or impersonate another person or misrepresent affiliation;
- scrape, crawl, harvest, or use automated means to access the Service except through interfaces we expressly authorize;
- reverse engineer, decompile, copy, frame, mirror, or attempt to discover source code, model parameters, prompts, or nonpublic components, except where applicable law makes a restriction unenforceable;
- use the Service or Output to train, fine-tune, benchmark for publication, or develop a competing model, dataset, or service without our prior written consent;
- resell, sublicense, rent, or commercially exploit the Service unless a written agreement expressly permits it;
- consume resources in an abusive manner or evade quotas, subscription limits, or payment obligations; or
- assist or encourage anyone to do any of the above.
We may investigate suspected violations and cooperate with lawful authorities. We are not required to monitor all use, but we may do so to operate, protect, and enforce the Service consistent with the Privacy Policy.
9. Academic integrity and educational use
LectureSketch is designed to support studying and recall, not to complete graded work on your behalf or circumvent learning. You are responsible for understanding and following the rules of your school, course, examination, instructor, employer, publisher, and applicable license.
- Do not use the Service during an exam or assessment where outside tools are prohibited.
- Do not submit Output as your own work when disclosure, attribution, or independent work is required.
- Do not upload restricted course materials, answer keys, recordings, or copyrighted works unless you have permission or another lawful basis.
We do not guarantee grades, exam performance, retention, learning outcomes, admission, certification, or any other educational result.
10. Our ownership, feedback, and copyright concerns
Except for User Content and rights expressly granted to you, LectureSketch and its licensors own all rights, title, and interest in the Service, including its software, interfaces, design, branding, text, graphics, workflows, compilations, and related intellectual property. These Terms grant only a limited, revocable, nonexclusive, nontransferable right to use the Service for its intended purpose during the term. No rights are granted by implication.
If you submit ideas, suggestions, or other feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use, modify, disclose, and exploit it without restriction or compensation, provided we do not publicly identify you as the source without permission.
Copyright complaints
If you believe content available through the Service infringes your copyright, email support@lecturesketch.com with: your contact information; identification of the copyrighted work; the location of the allegedly infringing material; a statement of good-faith belief that the use is unauthorized; a statement, under penalty of perjury, that your notice is accurate and you are authorized to act; and your physical or electronic signature. We may remove material and terminate repeat infringers where appropriate.
11. Third-party services and terms
The Service depends on third-party platforms and may contain links to third-party sites. Providers such as Supabase, Google, and Stripe may process information or provide functionality under their own terms and privacy notices. We do not control and are not responsible for third-party products, content, availability, security, or practices.
Your use of third-party features may be subject to additional terms. You agree not to use the Service in a way that causes us or you to violate an applicable third-party term. Changes by a provider may affect or prevent our ability to offer a feature.
12. Suspension, termination, and account closure
You may stop using the Service at any time. You may delete sketches or remove classes through available controls and may request account closure by emailing support@lecturesketch.com. Canceling a paid subscription and deleting an account are separate actions.
We may limit, suspend, or terminate access, remove content, or take other reasonable action if we believe you violated these Terms, created risk or legal exposure, failed to pay, used the Service fraudulently or abusively, or if required by law or a provider. Where reasonable, we will provide notice and an opportunity to cure, but we may act immediately when necessary to protect security, users, providers, or the public.
We may also discontinue the Service. If we discontinue a paid Service before the end of a prepaid term for reasons unrelated to your breach, we will provide any refund required by law or a reasonable alternative remedy at our discretion.
On termination, your right to use the Service ends. Sections that by their nature should survive will survive, including provisions concerning ownership, feedback, payment obligations, disclaimers, liability, indemnification, disputes, and general terms.
13. Disclaimers
To the maximum extent permitted by law, LectureSketch disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, quiet enjoyment, accuracy, and any warranties arising from course of dealing or usage of trade.
We do not warrant that the Service or Output will be accurate, complete, available, uninterrupted, secure, error-free, compatible with your needs, or free of harmful components, or that defects will be corrected. We do not warrant that content will be preserved or that using the Service will produce any educational result.
Some jurisdictions do not allow certain warranty exclusions, so some of these disclaimers may not apply to you. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LECTURESKETCH AND ITS AFFILIATES, LICENSORS, SERVICE PROVIDERS, AND THEIR RESPECTIVE PERSONNEL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, CONTENT, OR USE, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF LECTURESKETCH AND THE PARTIES LISTED ABOVE FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO LECTURESKETCH FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR (B) 100 U.S. DOLLARS.
These limitations apply regardless of the theory of liability and even if a remedy fails of its essential purpose. They do not limit liability that cannot be limited by law, which may include liability for fraud, willful misconduct, or death or personal injury caused by negligence in some jurisdictions. Applicable consumer rights remain unaffected.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless LectureSketch, its affiliates, licensors, service providers, and their respective personnel from claims, demands, proceedings, damages, losses, liabilities, judgments, settlements, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your User Content or use of Output;
- your access to or use of the Service;
- your breach of these Terms or an applicable third-party term;
- your violation of law or another person's rights; or
- fraud, willful misconduct, or misuse by you or anyone using your account.
We may control the defense and settlement of a covered claim, and you agree to cooperate. You may not settle a claim in a way that admits fault by or imposes an obligation on an indemnified party without our written consent. This section does not apply to the extent prohibited by consumer law.
16. Dispute resolution and governing law
Informal resolution first
Before filing a formal claim, you and LectureSketch agree to make a good-faith effort to resolve the dispute informally. Send a written description of the dispute, the relief requested, and your contact information to support@lecturesketch.com. The receiving party will have 30 days to respond before either party begins a proceeding, unless immediate relief is reasonably necessary or a limitations period would expire.
Governing law and forum
These Terms and any dispute will be governed by the laws applicable in the jurisdiction of LectureSketch's principal place of business, without regard to conflict-of-laws rules. Unless mandatory consumer law provides otherwise, the courts with jurisdiction over that location will have exclusive jurisdiction over disputes arising from the Service or these Terms, and you consent to their personal jurisdiction and venue.
Nothing in this section limits rights you may have under mandatory consumer law in your place of residence. Either party may seek injunctive or equitable relief to protect intellectual property, confidential information, or system security.
17. General terms
- Entire agreement. These Terms and the documents incorporated by reference are the entire agreement about the Service and supersede prior or contemporaneous discussions on that subject.
- Order of precedence. If specific written terms for a paid plan or feature conflict with these Terms, the specific terms control for that conflict.
- Assignment. You may not assign these Terms or transfer rights without our written consent. We may assign them in connection with a reorganization, transaction, or by operation of law.
- Severability. If a provision is unenforceable, it will be modified to the minimum extent needed to make it enforceable, or severed if modification is not possible. The remaining provisions stay in effect.
- No waiver. A failure to enforce a provision is not a waiver. Waivers must be in writing and apply only to the specific instance stated.
- No third-party beneficiaries. These Terms do not create third-party beneficiary rights except as expressly stated.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including internet or provider failures, labor disputes, natural disasters, war, civil unrest, government action, epidemics, or power outages.
- Electronic communications. You consent to receive contractual, account, billing, and policy notices electronically. Electronic notices satisfy legal requirements that communications be in writing, where permitted by law.
- Headings. Headings are for convenience and do not affect interpretation. "Including" means "including without limitation."
18. Changes and contact
We may update these Terms to reflect changes to the Service, law, providers, risk, or business practices. We will post revised Terms and update the effective date. If a change is material, we will provide additional notice when required. Changes apply prospectively from their effective date.
If you do not agree to revised Terms, you must stop using the Service and cancel any subscription before the changes take effect. Continued use after the effective date constitutes acceptance to the extent permitted by law.
